Introduction


Costa Palmas is not a single homeowners’ association or condominium.

Instead, it is a large master-planned development composed of multiple legal entities, condominium regimes, residential communities and administrative bodies, each with different responsibilities and powers.

Understanding this governance structure is essential to understanding the legal proceedings described elsewhere on this website.

Like many large master-planned resort and residential developments, Costa Palmas operates under a governance framework designed to regulate the administration of common areas, the rights and responsibilities of property owners, and the operation of shared facilities.

This page provides a plain-language explanation of how Costa Palmas is organized and how the various entities relate to one another.

The Governance Framework


The governance of Costa Palmas is based on a number of legal and administrative documents that establish how the development is organized and managed.

These include, among others:

The Master Condominium


The Master Condominium [[**Master Condominium**]] establishes the overall legal and administrative framework for the development. It defines the relationship between common areas, individual ownership, governance responsibilities and the operation of the community as a whole.

The Master HOA


The Costa Palmas Master Homeowners’ Association (Master HOA) is responsible for administering matters affecting the Master Condominium.

Its responsibilities may include administration of common areas, budgeting, collection of assessments and other functions established by the governing documents.

The Master HOA is the defendant in the Master HOA Accounting Proceedings summarized elsewhere on this website.

Sub-Regimes


Within the overall Master Condominium, individual areas of the development may operate through separate sub-regimes that establish additional governance arrangements for particular neighborhoods or sections of the project.

These documents work together with the Master Condominium and other governing instruments.

Bylaws, Regulations and Design Guidelines


The governance framework also includes bylaws, regulations and design guidelines that address matters such as administration, architectural standards, maintenance responsibilities and the use of common areas.

Governance and Property Owners


The governance framework applies to property owners throughout the development. However, because different groups of owners acquired their properties at different stages in the history of the project, some governance issues documented on this website primarily concern Legacy Owners and the historical evolution of the development.

Governance and Current Legal Proceedings


Questions concerning certain governance decisions, amendments, and administrative and financial matters have become the subject of civil proceedings currently before the courts of Baja California Sur.

This page does not examine those proceedings in detail. Rather, it provides the governance background necessary to understand the legal issues discussed elsewhere on this website.

Why Governance Matters


The current legal proceedings do not concern every aspect of Costa Palmas.

Rather, they concern specific questions regarding governance, property rights, financial transparency and the administration of certain condominium regimes.

Among the questions raised in the litigation are:

  • Who has authority to amend a condominium regime after properties have been sold?
  • What approvals are required before common areas or governance documents may be changed?
  • What financial information are property owners entitled to receive?
  • How should common expenses be allocated among different categories of owners?
  • What duties do condominium administrators owe to property owners?

These questions are currently before the courts of Baja California Sur and remain to be determined.
